AI Services: Development of artificial intelligence models, including machine learning, NLP, computer vision, and data analysis.
Client: The individual or organization engaging our Services.
Data: Any data provided by the Client or obtained during service delivery
Outputs: Results generated by AI systems, including predictions, classifications, or generated content
2. Scope of Services
The Company will provide the agreed-upon services as described in a Statement of Work, contract, or written agreement. Any changes to the scope of services must be mutually agreed upon in writing.
3. Payment Terms
Fees are payable as outlined in the applicable agreement.
Late payments may incur interest or may result in suspension of services.
Clients are responsible for all applicable taxes and any third-party fees.
4. Intellectual Property
Upon full payment, intellectual property rights to the deliverables will transfer to the Client, unless otherwise agreed in writing.
The Company may retain the right to reuse non-client-specific components for future work.
5. Confidentiality
Both parties agree to protect all confidential information and not disclose it to any third party without prior written consent, unless disclosure is required by law.
6. Data Protection and GDPR Compliance
We process personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Specifically, we will:
Only process personal data under documented instructions from the Client.
Implement appropriate technical and organizational security measures to protect personal data.
Assist the Client with data subject requests, including access, deletion, and correction.
Notify the Client promptly of any personal data breach.
Ensure that any sub-processors adhere to equivalent data protection standards.
The Client is responsible for obtaining all necessary consents for data sharing and use. Upon project completion, data will be deleted or returned unless legally required to be retained.
7. AI-Specific Disclaimers
AI-generated outputs are probabilistic in nature and may not always be accurate or suitable for critical decision-making.
The Company does not guarantee error-free performance or the absence of bias. Clients must independently review and validate all outputs before use.
8. Ethical Use of AI
Clients must not use AI systems for any unlawful, unethical, or harmful purposes, including surveillance, profiling, or misinformation.
The Company reserves the right to refuse or terminate services if AI systems are used in an unethical manner.
9. Liability for AI Use
The Client is solely responsible for all actions, decisions, and consequences arising from the use of AI systems or their outputs.
The Company shall not be liable for any indirect, incidental, or consequential damages.
10. Maintenance and Retraining
Ongoing support, model retraining, or monitoring services are not included unless explicitly stated in a separate written agreement.
11. Termination
Either party may terminate the services by providing written notice.
The Client remains liable for payment for all work completed up to the effective date of termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, specifically the jurisdiction of Tamil Nadu, without regard to conflict of law principles.
13. Amendments
The Company may update these Terms from time to time.
Significant changes will be communicated via email or published on our website. Continued use of the services constitutes acceptance of the updated Terms.
